Supervisory Board
The members of the Supervisory Board (SB) are committed and willing to dedicate sufficient time to their important role. They are aware of ASN Bank’s social responsibility and the interests of its various stakeholders. The SB met seven times in 2021. In addition, the SB convened outside its regular meeting schedule to discuss various topics, including the new top management structure and the SB’s working methods in its new composition. Almost all SB members were present at each meeting. If a member was absent (for part of a meeting), they usually shared their input with the chair or the full board in advance.
In line with the Dutch Banking Code, the SB has established both a Risk & Compliance Committee and an Audit Committee. Additionally, it has formed a People & Organisation Committee. These committees are composed of SB members. When appointing members, individual competencies and experience, as well as overall board composition, are considered. SB members possess, among other things, thorough knowledge of financial reporting, internal controls, audit, IT, and human resource management. Each committee has its own charter, which is published on our website. These documents define the roles, responsibilities, composition, and procedures of the committees. All committee members have declared their independence.
ASN Bank has a Continuing Education (PE) programme for SB members. The aim is to maintain, broaden and deepen their knowledge and expertise. The programme covers both financial and non-financial topics such as corporate governance, duty of care regarding customers, integrity, behaviour and culture, risk management, financial reporting, audit, and relevant developments within the bank and the financial sector. The programme targets both the board as a whole and its individual members. Where necessary, individual board members further enhance their knowledge based on their role and level of expertise. In addition to the PE programme, new members of the Executive Committee and SB follow a customised onboarding programme, including the OPEN introduction programme.
All SB members are assessed annually on their performance. Each year, the SB also evaluates its own functioning and that of its committees, without the presence of the Executive Board (ExBo). These evaluations assess whether the board still has the necessary expertise and whether the PE programme remains effective. Every three years, this self-assessment is carried out under the guidance of an independent external party.
